Terms of Service

1. Who we are

Creator ToolBox is operated by Kota LLC, a limited liability company registered in Alabama, United States ("Creator ToolBox", "we", "us").

2. Agreeing to these Terms

These Terms of Service ("Terms") govern your use of Creator ToolBox (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy at creatortoolbox.io/privacy. If you do not agree, do not use the Service.

3. What the Service does

Creator ToolBox is a platform for TikTok Shop creators and the brands that work with them. Depending on your plan and the features you switch on, it may provide:

• a marketplace where creators and brands find each other and agree deals
• a dashboard for tracking deals, deliverables, approvals and payment status
• an email assistant that sends outreach on your behalf, and that can receive brand enquiries you forward to us, extract the terms being offered, and prepare draft replies for you
• optional paid services, including video editing carried out by contractors
• a profile showing your performance information to brands

Some features are available only on paid plans, and some are optional and switched on by you. We may add, change or withdraw features, and we will give reasonable notice before withdrawing something you are paying for.

4. Eligibility and your account

You must be at least 18 years old to use the Service. By creating an account you confirm that you are 18 or over, that the information you give us is accurate, and that you have the right to enter into agreements with brands.

Some features and some plans may require approval before access is granted, and where that applies it is shown at signup.

If you create an account on behalf of a company, you confirm that you are authorised to bind that company to these Terms.

You are responsible for your login details and for what happens under your account. Tell us at admin@creatortoolbox.io straight away if you believe someone else has access to it. Do not share your account, create an account for someone else without their permission, or give us credentials belonging to a third party.

5. Creator and brand responsibilities

• Provide honest information about your accounts, audience and offerings.
• Where you enter your own performance figures, including sales, views, engagement or GMV, they must be accurate and not misleading. We may ask you to evidence them, and we may remove figures or suspend an account where they are overstated.
• Deliver what you agree to in a deal, and communicate in good faith.
• Follow applicable laws, advertising rules and platform disclosure requirements, including disclosing paid partnerships where required.

6. Connecting your TikTok account

Connecting a TikTok account is optional and started by you. You confirm the account is yours and that you will comply with TikTok's own terms.

We request only the permissions needed to confirm the account belongs to you and to show your handle and basic profile information on your Creator ToolBox profile. We do not post to your TikTok account and we do not read your private messages.

Performance figures shown on your profile, including views, engagement and sales figures such as GMV, are the figures you enter yourself unless the page says they are verified through TikTok. Section 5 applies to them.

You can disconnect at any time from your account settings.

7. Connecting your Google account for sending

Connecting a Google account is optional and always started by you. Google shows you exactly what you are permitting before you agree, and you can withdraw that permission at any time, either from inside Creator ToolBox or at myaccount.google.com/permissions.

By connecting a Google account you confirm that the account is yours, or that you have the owner's permission to connect it, and that you will use the Service in line with Google's own terms.

We use this connection solely to send outbound emails on your behalf from within the Service. We do not read, store, or use the contents of your mailbox for any other purpose.

Creator ToolBox's use and transfer of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements. See our Privacy Policy for the detail of what we access and how we handle it.

8. Forwarding your brand email to us

Separately from the Google connection above, you may choose to forward incoming brand emails to an address we provide for you, either message by message or by setting up forwarding in your own email provider.

This is optional and set up by you, and you can stop it at any time by removing the forwarding rule or by asking us to disable the address.

What we do with a forwarded message: we read its contents in order to identify whether it is a brand enquiry, extract the terms being offered, create or update the corresponding deal in your dashboard, and prepare a draft reply for you. This processing is automated and includes processing by an artificial intelligence model provided by a third party under contract to us.

What we do not do: we do not use forwarded email content for advertising, we do not sell it, and we do not use it to train or improve general purpose artificial intelligence models. Our staff do not read your forwarded mail except where you ask us to look into a problem, where it is necessary for security, or where the law requires it.

You are responsible for what you choose to forward. Do not forward correspondence you are not entitled to share.

9. Deals between creators and brands

Creator ToolBox provides the platform. Deals are agreements between the creator and the brand.

We are not a party to those agreements, we do not employ creators, and we do not guarantee that a brand will pay, that a creator will deliver, or that any deal will be profitable. Where the Service drafts, negotiates or sends communications on your behalf, you remain responsible for reviewing and accepting the final terms of any deal.

If a dispute arises between a creator and a brand, either side may raise it with us. We may review the evidence available on the platform and reach a reasonable decision to help resolve it. That is a platform decision about your use of Creator ToolBox. It does not replace your legal rights and we do not guarantee any outcome.

10. Fees, subscriptions and payments

Plan prices and any applicable fees are shown before you subscribe or complete a purchase.

Free trials. Where a free trial is offered, its length and what happens at the end are shown at signup. Unless you cancel before the trial ends, it converts to a paid subscription at the price shown.

Renewal and cancellation. Subscriptions renew automatically for the same period until cancelled. You can cancel at any time from your account settings. Cancelling stops future charges and takes effect at the end of the period you have already paid for.

Refunds. Except where the law gives you a right to a refund, payments for a period already started are not refunded. If we withdraw a paid feature mid-period, we will refund the unused part or provide a credit.

Price changes. We may change prices with at least thirty days' notice before the change applies to your next renewal.

Platform commission. Where a deal is agreed, managed or delivered through the Service, we may charge a commission on the value of that deal. The rate applying to your account is shown on your plan and before you accept a deal, and it is deducted or invoiced as described there. Any change to your rate applies only to deals agreed after we tell you.

Circumvention. You agree not to move a deal that originated on the Service off the platform, or to structure or misreport a deal, in order to avoid a commission that would otherwise be due. Where we reasonably determine this has happened, we may invoice the commission that would have applied and may suspend the account.

Payments between users. Where payments between brands and creators run through the platform, they are processed by Stripe, our third-party payment processor. We receive confirmation of payment and limited payment details, such as the last four digits of your card, and their terms apply to that processing. We do not store full card numbers.

Taxes. You are responsible for the taxes that apply to your earnings and, where applicable, for any tax on the fees you pay us.

11. Content production and editing services

We may offer paid production services, including video editing. These are optional, ordered by you, and priced before you order.

Editing work is carried out by editors engaged through the Service, who are independent contractors and may be located outside your country. To provide the service we make the files and instructions you submit available to the editor who takes your job, for that job only. Editors are subject to confidentiality obligations and are not permitted to use your material for any other purpose.

Turnaround times and included revisions are described at the point of order and are estimates rather than guarantees. You keep ownership of your footage and of the finished edit.

12. Your content and our platform

You keep ownership of the content you upload.

You grant us a non-exclusive licence to host, store, display, transmit and process that content as needed to run the Service. This includes showing your profile and submitted work to brands you choose to engage with, and, where you order production services, making the relevant files available to the editor who takes your job. The licence lasts as long as we need it to provide the Service to you and ends when you delete the content or close your account, except for copies we are required to keep by law.

You must have the rights to any content you submit, and it must not be unlawful, infringing or abusive.

Creator ToolBox, its software and its branding remain ours.

13. Prohibited conduct

You agree not to:

• misrepresent your identity, your audience or your performance figures
• abuse, harass or defraud other users
• use the Service to send unlawful, deceptive or unsolicited bulk email in breach of applicable email marketing law
• upload content you do not have the rights to
• attempt to access other users' accounts or data, or interfere with the Service or access it without authorisation
• scrape, copy or resell data from the platform

We may suspend or close accounts that break these rules.

14. Third party services

Creator ToolBox works alongside other services, including Google, TikTok, and our payment and email providers. Your use of those services is governed by their own terms. We are not responsible for them, for their availability, or for changes they make to their platforms.

15. Availability and disclaimers

We work to keep the Service running, but we provide it "as is" and without warranties of any kind. We do not promise that it will be uninterrupted or error free, and we do not promise that it will produce any particular commercial result, level of earnings, or number of deals.

16. Limitation of liability

To the fullest extent permitted by law, Kota LLC is not liable for indirect or consequential losses, including lost profits, lost deals, lost content or lost data. Our total liability to you in any twelve month period is limited to the amount you paid us in that period.

Nothing here limits liability that cannot be limited by law.

17. Indemnity

You agree to cover our reasonable losses and costs arising from your breach of these Terms, from content you submit, or from a deal you enter into with another user, except to the extent those losses result from our own act or omission.

18. Events outside our control

We are not liable for failure or delay caused by events outside our reasonable control, including the failure, suspension or policy changes of a third party platform on which the Service depends.

19. Ending your use

You can stop using the Service and close your account at any time from your account settings, or by contacting admin@creatortoolbox.io.

We may suspend or end access if these Terms are broken, if we are required to by law, or if we stop offering the Service. Where we stop offering the Service, we will give reasonable notice and refund the unused part of any period you have paid for.

20. Assignment

You may not transfer your account or your rights under these Terms without our consent. We may transfer ours in connection with a sale or reorganisation of the business, and we will tell you if that happens.

21. Governing law

These Terms are governed by the laws of Alabama, United States. The courts of Alabama have exclusive jurisdiction, except where mandatory local law gives you the right to bring a claim where you live.

22. Changes to these Terms

We may update these Terms. We will post the new version here and update the date above. Where a change is significant we will tell you by email or in the product before it takes effect. Continuing to use the Service after that means you accept the updated Terms.
